These Terms of Service ("Terms") govern your access to and use of ArrayPro's website, products, and services ("Services"). By accessing or using our Services, you agree to be bound by these Terms. If you do not agree, do not use our Services.
If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity, in which case "you" refers to that entity.
ArrayPro provides performance-based lead generation services for home service businesses, with planned expansion into insurance and mortgage verticals. We generate, screen, and deliver leads to partner businesses ("Partners") who pay on a per-qualified-lead basis. The specific scope of Services, pricing, geographic targeting, and lead volume will be outlined during onboarding and reflected in your account configuration.
You must be at least 18 years old and have the legal capacity to enter into a binding contract to use our Services. By using our Services, you represent and warrant that you meet these requirements.
To use our Services, you must complete an onboarding process and provide accurate, current, and complete information. You are responsible for:
Our Services are billed on a pay-per-qualified-lead basis. The cost per lead is determined during onboarding and depends on factors including service type, geographic market, and lead volume.
You must keep a valid payment method on file. Your card will be charged after a qualified lead is delivered to you — never before. By providing a payment method, you authorize ArrayPro to charge that method for all leads delivered under these Terms.
If a payment fails, we may suspend lead delivery until payment is resolved. Repeated failed payments may result in account termination.
You are responsible for any applicable taxes related to your use of the Services, except for taxes based on ArrayPro's net income.
We screen leads before delivery to confirm contact information, project intent, and geographic relevance. However, no screening process is perfect. If you believe a delivered lead does not meet our quality standards — for example, wrong number, no genuine project, or outside your service area — you may submit a credit request within 48 hours of delivery.
Credit requests must include sufficient information for us to evaluate the claim. ArrayPro will review each request in good faith and, if the lead falls outside the quality standards we promised, we will credit your account for the cost of that lead. ArrayPro's determination on credit requests is final.
Credits may be applied to future lead charges. Credits are non-transferable and have no cash value.
You may pause or resume your campaign at any time through your account. You may also cancel your Services at any time, with no penalty.
Because our Services are billed on a per-lead basis after delivery, we do not provide refunds for leads that have already been delivered, except as set forth in Section 6 (Lead Quality and Credits).

Violation of these terms may result in immediate suspension or termination of your account, with no refund.
All content, software, branding, and materials provided through our Services are owned by ArrayPro or our licensors and are protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works from our materials without our prior written consent.
Leads delivered to you are for your use only, in connection with the services you provide to those leads. You do not acquire any ownership rights to ArrayPro's underlying systems, technology, or processes.
Our Services may integrate with or link to third-party services (such as payment processors, CRM platforms, or communication tools). We are not responsible for the availability, content, or practices of any third-party services, and your use of them is subject to their own terms and policies.
OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.
WE DO NOT GUARANTEE THAT ANY SPECIFIC LEAD WILL CONVERT INTO A SALE, CLOSED JOB, OR OTHER BUSINESS OUTCOME. LEAD QUALITY MAY VARY, AND CLOSING RATES DEPEND ON YOUR SALES PROCESS, RESPONSE TIME, PRICING, AND MANY OTHER FACTORS WITHIN YOUR CONTROL.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, ARRAYPRO AND ITS OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING FROM YOUR USE OF OUR SERVICES.
OUR TOTAL CUMULATIVE LIABILITY FOR ANY CLAIM ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICES WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID ARRAYPRO IN THE 3 MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100).
You agree to indemnify, defend, and hold harmless ArrayPro and its officers, employees, and agents from any claims, damages, losses, liabilities, or expenses (including reasonable attorneys' fees) arising from: (a) your use of the Services, (b) your violation of these Terms, (c) your violation of applicable law (including TCPA, DNC, or consumer protection laws), or (d) your interactions with leads delivered through our Services.
You may terminate your use of the Services at any time by contacting us or canceling through your account. We may suspend or terminate your access to the Services at any time, with or without notice, for any reason — including but not limited to violation of these Terms, non-payment, or conduct that we determine, in our sole discretion, to be harmful to ArrayPro, our Partners, or our leads.
Upon termination, your right to use the Services ends immediately. Sections that by their nature should survive termination — including payment obligations, intellectual property, disclaimers, limitation of liability, and indemnification — will survive.
These Terms are governed by the laws of the State of Texas, without regard to its conflict of law principles. Any dispute arising from or relating to these Terms or the Services will be resolved in the state or federal courts located in Texas, and you consent to the exclusive jurisdiction of those courts.
We may update these Terms from time to time. When we do, we will revise the "Effective Date" at the top of this page. If changes are material, we will provide additional notice (such as by email or a prominent notice on our site). Your continued use of the Services after changes take effect constitutes acceptance of the updated Terms.
These Terms, together with our Privacy Policy, constitute the entire agreement between you and ArrayPro regarding the Services. If any provision is found to be unenforceable, the remaining provisions will remain in effect. Our failure to enforce any right or provision will not be a waiver of that right or provision. You may not assign these Terms without our prior written consent; we may assign them freely.
